LESLEY LOGAN PILATES - RETREAT AGREEMENT

This Retreat Agreement (“Agreement) is between Lesley Logan Pilates, LLC and Crow’s Nest SP Cambodia (collectively “LLP”) and You, the undersigned, for booking of the Cambodia Pilates Retreat (the “Retreat”).

DATES:

The Retreat begins on the dates outlined in the attached Appendix, including Check-in and Checkout dates and times (for those staying on-site).

BOOKING:

To secure your spot in the Retreat, You must register, pay either the deposit or registration fee in full, and complete this Agreement. Upon receipt of aforementioned, your spot will be considered ‘reserved’ and LLP will confirm the same with you in writing.

INVESTMENT:

All prices outlined in the attached Appendix are per person. Payments shall be made via LLP’s websites, https://LesleyLogan.co or https://CrowsNestRetreats.com, through an invoice from LLP’s invoicing system at https://WaveApps.com, or through a payment plan with LLP’s financing partner, myAbundant. (See Payment Authorization below.)

ACCOMODATIONS:

The Retreat ticket price includes, but is not limited to:

5-night stay on-site guests only (shared room) in the Crow’s Nest Apartments & AirBNB or in a neighboring guest house;
Five 1-hour movement classes;
Two 2.5-hour workshops on movement or personal growth;
Transportation to and from the airport;
Food
- Sunday night welcome dinner only
- Monday-Thursday: 3 meals/day (including family-style close-of-retreat dinner Thursday)
- Friday breakfast only
3 day all-access Angkor Temple Pass;
2 Guided Tours of temples with air-conditioned transportation.

OPTIONAL ADDITIONAL ACTIVITIES AND ACCOMMODATIONS:

Note that these activities are optional and not included in the Retreat investment; undergoing any of these activities are done at your sole expense.

Tuk-tuks are about $2-$5 a ride or more depending on where you are going;
In-room massages;
Plenty of shopping within walking distance;
Cooking Classes, Vespa Tours;
Additional touring locations;
Museums, Night Markets.

LODGING LIABILITY:

You understand and agree that You are staying and practicing in a private residence. Furthermore, You understand and agree that You are responsible for any damage to the Property while under your occupancy. If damage is sustained to the Property and responsibility cannot be imputed to one specific individual, all those occupying will be held jointly liable. You further understand and agree that LLP is in no way responsible for any injuries sustained or losses occurred while at the Property, or injuries or losses sustained due to lack of reasonable care and maintenance by the Property owners. By signing this Agreement you agree to abide by the rules set forth at each Property, including nightly curfews, noise restrictions, and check-out procedures.

AIRFARE + TRANSPORTATION:

You are responsible for arranging your own airfare to and from the Retreat. It is recommended that You fly into Siem Reap, Cambodia to The Siem Reap Angkor International Airport (SAI). If you are staying on-site, your rides both from and to the airport are included in your retreat package. If you are staying off-site, your hotel should provide a ride to and from the airport for you. If they do not please contact us.

You will either be walking to and from activities in town, or be driven by a LLP representative, or 3rd party touring service when traveling around town and the temples. It is not necessary to rent a car for the Retreat. If You choose to go out for a private meal or activity, LLP is not responsible for, nor does it provide transportation. Rideshare is recommended.

MEALS AND DIETARY ALLERGIES/ RESTRICTIONS:

The following meals are being provided by LLP:

Sunday night welcome dinner only
Monday-Thursday: 3 meals/day (including family-style close-of-retreat dinner Thursday)
Friday breakfast only

If You have food allergies and dietary restrictions, you’re kindly asked to let a LLP representative know immediately upon booking, including whether it is a restriction or allergy, and the extent of your allergy/cross-contamination considerations.

CANCELLATION, TERMINATION, REFUNDS:

Due to the extensive time, effort, preparation, and care that goes into curating, creating, leading, and providing the Retreat, no refunds will be provided.

Unless otherwise provided by law, You acknowledge that all sales are final and LLP does not offer refunds for any portion of your payment for any of the Retreat at any time. By signing this Agreement, You agree that You will not issue a chargeback for any payment made as you are fully aware of this Refund Policy and voluntarily consenting to it.

Should You attempt to issue a chargeback with your credit card company, this Agreement will automatically terminate upon such attempt, regardless of whether the attempt is successful or not. This Agreement will be presented to your financial institution as proof of your agreement to pay for the Retreat in full.

LLP does not offer trip insurance and recommends that You obtain insurance if you are concerned about your travel plans being canceled or altered.

If in the sole discretion of LLP Your behavior violates the terms of this Agreement, particularly that of the Code of Conduct below, so much so that LLP must terminate your enrollment in the Retreat, or evict You from the Retreat, your enrollment is entirely non-refundable.

PAYMENT AUTHORIZATION:

For those on a payment plan, by entering into this Agreement, You agree to save a valid and up-to-date credit card or debit card on file in your account on the LLP website or through Abundant Servicing LLC (“myAbundant”), our financing partner’s website (https://myabundant.com). You further agree that LLP or myAbundant may charge, without any additional authorization required, the credit card or debit card You saved to your account each month for the installment payment owed, or any balance payment due, until the balance is paid in full. Upon billing, You will receive an electronic receipt to the email on file indicating the same.

MISSED PAYMENT:

If payment is not received by the due date or there is a problem with the payment transaction or method (such as a declined credit card or insufficient funds), You will be promptly notified via an email from LLP or MyAbundant to settle the matter.

However, if You continue to remain behind in payments, LLP reserves the right to pause or remove your access to the Retreat, pending timely payment of balance owed.

INTELLECTUAL PROPERTY RIGHTS:

LLP retains all ownership and intellectual property rights to the Retreat materials provided to you throughout the Retreat, including all copyrights and any trademarks belonging to LLP and related entities. The Retreat materials are being provided to You for your individual use only and with a single-user license; this means that You are not allowed or authorized to share, copy, sell, post, distribute, reproduce, duplicate, trade, resell, exploit, or otherwise disseminate any portion of the Retreat or Retreat materials, electronically or otherwise, for business or commercial use, or in any other way that earns You money, without LLP’s prior written permission.

By signing this Agreement You agree to the above terms, and understand that LLP’s Retreat materials are protected by the United States Intellectual Property laws, including the Copyright Act of 1976. You understand and agree that violating the terms of this Agreement may subject You to legal action and that LLP will pursue all remedies at law against You to the fullest extent which they are entitled.

ACTS OF GOD:

In the event that any cause beyond reasonable control, including, without limitations, “acts of God”/nature, war, curtailment, or interruption of transportation facilities, threats or acts of terrorism, State Department travel advisories, labor strikes or civil disturbances, unforeseen or foreseen human-initiated circumstances, health or travel restrictions, quarantines, lockdowns or precautions imposed by any government entity or agency, local, state or federal law or ordinance, or other instances, make it inadvisable, illegal, impracticable, or impossible for LLP to perform responsibilities or obligations under this Agreement, either because of unreasonable increased costs or the risk of injury, LLP is not be liable for a reasonable period of delay or for the inability to indefinitely fulfill my responsibilities and obligations.

PHOTO/VIDEO RELEASE:

You hereby grant LLP, its representatives, employees, or agents the right to take photographs and video footage of you and your property while at the LLP Retreat, and during the activities on the retreat, and to use and publish these photos or videos in print and/or electronically in perpetuity. You agree that LLP may use photographs or video footage of you with or without your name for any lawful purpose, including for such purposes as publicity, illustration, advertising, and any web content.

CODE OF CONDUCT:

LLP is committed to providing an environment that is free from disrespectful and offensive behavior. Accordingly harassment, disruptive, or discriminatory behavior amongst attendees, and/or continued disruptive or incendiary behavior, in the sole discretion of a LLP representative, will result in immediate expulsion from the Retreat.

By participating in the Retreat You agree that You will treat other participants with the utmost mutual respect. You acknowledge that this Retreat is inclusive, in all ways, including teaching styles and previous training methods, physical or mental characteristics, race, religious or political views, nationality, disability, medical condition, gender, sexuality or any other characteristics protected under federal, state or local law.

Failure to comply with such rules could forfeit your enrollment in the Retreat, and lead to termination of this Agreement, including all of the rights of LLP contained herein, with no refund.

LIABILITY AND COVID CONSIDERATIONS:

In consideration of attending the Retreat, You will be asked to sign both a Liability Waiver and COVID Liability Waiver.

The Retreat and LLP will be following Siem Reap’s local ordinances regarding mask wearing and social distancing. As this is an ever-evolving and changing situation, LLP recommends that each guest bring extra masks in case they are needed; however, many of the Retreat activities will be outdoors and masks will likely not be required.

APPENDIX

EARLY BIRD DATES

Registration Window: January 12, 2024 - January 26, 2024

20% off applied to balance if deposit completed during the early bird window.

Early Bird does not apply to Experience-Only tickets and does not apply to those on payment plan with third party

RETREAT DATES & CHECK-IN / CHECKOUT TIMES

Start Date: evening of Sunday, October 6, 2024

End Date: Friday, October 11, 2024.

For those staying on-site:

Check In: 3pm on the Start Date.

Check Out: 11am on the End Date.

INVESTMENT: All prices below are per person.

PROFITABLE PILATES LLC AGENCY MEMBERS:

Option 1 - On-Site:
1. $2,399.00 divided into 2 payments (regardless of whether or not You signed up during the early bird window);
2. Deposit $749.00 due upon registration;
3. Balance $1,650.00 is due on or before July 8, 2024.
Option 2 - Off-Site:
1. $2,159.20 divided into 2 payments (regardless of whether or not You signed up during the early bird window);
2. Deposit $749.00 due upon registration;
3. Balance $1,410.20 is due on or before July 8, 2024.
Option 3 - Experience-Only:
1. $1,999.20 divided into 2 payments (regardless of whether or not You signed up during the early bird window);
2. Deposit $749.00 due upon registration;
3. Balance $1,250.20 is due on or before July 8, 2024.

NON-AGENCY MEMBERS:

Option 1 - On-Site:
1. $2,999.00 divided into 2 payments;
2. Deposit $749.00 due upon registration;
3. Balance $2,250.00 is due on or before July 8, 2024 (unless You signed up during the early bird window).
Option 2 - Off-Site:
1. $2,699.00, divided into 2 payments;
2. Deposit $749.00 due upon registration;
3. Balance $1,950.00 is due on or before July 8, 2024 (unless You signed up during the early bird window).
Option 3 - Experience-Only:
1. $2,499.00, divided into 2 payments;
2. Deposit $749.00 due upon registration;
3. Balance $1,750.00 is due on or before July 8, 2024

RELEASE OF LIABILITY AND ASSUMPTION OF RISK

By signing up for and/or attending the Retreat, which includes workouts, outdoor events, activities, and programs, and the use of rented or hired premises, facilities and equipment, You hereby acknowledge on behalf of yourself, your heirs, personal representatives and/or assigns, that there are certain inherent risks and dangers association with the Retreat.

You acknowledge that some of these risks can occur suddenly and cannot be eliminated regardless of the care taken to avoid injuries. You also acknowledge that the specific risks vary from one activity to another, but range from (1) minor injuries such as scratches, bruises, and sprains; (2) major injuries such as eye injury or loss of sight, joint or back injuries, heart attacks, stroke and concussions; and (3) catastrophic injuries including paralysis and death.

Certain activities may be hosted by third-party companies. At all times, You shall comply with all stated and customary terms, posted safety signs, rules, and verbal instructions given to You by the LLP team, or employees or agents of hired third party companies. Should You ignore instruction, posted safety signs, rules, verbal instructions, or the law, You are doing so at your own risk and assume all injury and damages to Yourself and others. Furthermore, You agree to assume full responsibility for any and all injuries, including death, which are sustained or aggravated by You in relation to the Retreat.

You declare yourself to be both physically sound and healthy, and do not suffer from any condition, impairment, disease or any illness that would prevent your participation in any of the Retreat activities, including extensive walking, hiking, swimming and water sports. You are not aware of any medical condition that would render you unfit to participate in the Retreat. You will notify LLP immediately of any change in medical condition, including pregnancy. Furthermore, you agree that if you experience any symptoms such as shortness of breath, chest pain, unusual fatigue, dizziness or fainting, or extreme pain, whether or not you are under direct supervision of a representative of LLP, you will immediately cease the activity and inform a representative of LLP of your symptoms. You authorize any representative of LLP to obtain emergency medical treatment for you, including transportation to a hospital, urgent care, or other medical facility.

You acknowledge that it is Your choice to maintain Travel Insurance during Your participation on the retreat, and not the responsibility of LLP.

In consideration of being allowed to participate in and access the Retreat, You fully and completely, or behalf of your heirs, representatives and assigns (1) agree to assume full responsibility for any and all injuries or damage which are sustained or aggravated by your in relation to the Retreat, and accordingly not institute or attempt to initiate any legal action, arbitration, demand, or processing and (2) release, indemnify, defend, and hold harmless LLP, its direct and indirect parent, subsidiary affiliate entities, and each of their respective officers, directors, members, employees, representatives and agents, and each of their respective successors and assigns and all others in their individual and legal capacities, from any and all responsibility, demands claims, actions, suits, procedures, costs, expenses, damages, and liabilities whatsoever, in law or in equity, now or that you may have in the future, to the fullest extent allowed by law arising out of or in any way related to participation in the Retreat.

ASSUMPTION OF RISK AND WAIVER OF LIABILITY RE: COVID-19

The novel coronavirus, COVID-19, has been declared a worldwide pandemic by the World Health Organization. COVID-19 is extremely contagious and is believed to spread mainly from person-to person contact. It is believed that an individual can be infected with COVID-19 without their knowledge and be asymptomatic.

Your health and safety is one of our top priorities. In the wake of COVID-19, Lesley Logan Pilates, LLC (the “LLP”) has implemented recommended measures designed to provide You with a safe and positive experience, and to reduce the spread of COVID-19 (see below) The pandemic circumstances require that all participants in the Retreat assume personal responsibility for the risks of participation in consideration for their participation in a Retreat.

Despite all of the precautions that You, other Retreat guests, Retreat vendors, and LLP and LLP representatives may take, LLP cannot guarantee that You will not become exposed to or infected with COVID-19 related to your participation in the Retreat, or that if infected, that you will not pass COVID-19 to others. Attending the Retreat may increase your risk of contracting COVID-19, as does touching surfaces; using the equipment, facilities, and amenities; direct and/or indirect interactions with other attendees, vendors, or guests or those who have COVID-19, or have been exposed to COVID-19.

Consequently, You acknowledge and understand the contagious nature of COVID-19 and voluntarily assume the risk that by attending and participating in the Retreat You and through You, your family, friends and others, may be exposed to or infected by COVID-19. Such exposure and/or infection may result in personal injury, illness, permanent disability, and death. You understand that the risk of becoming exposed to or infected by COVID-19 at, during or related to the Retreat may result either from COVID-19 itself and the inability of any action or series of actions to entirely prevent exposure to, transmission of, or infection by COVID-19. It also may result from the actions, omissions, or negligence of the LLP’s representatives, yourself, or others, including, but not limited to other Retreat attendees, guests, or vendors.

Knowing this, You voluntarily assume all risks and dangers related to participation in the LLP’s Session, whether described in this document, otherwise known or unknown, and accept sole responsibility for any injury to yourself, including but not limited to, personal injury, illness, disability, or death, as well as any damages, losses, claims, liabilities, actions or expenses of any kind arising from or related in any way to COVID-19 and your participation in the Retreat, and the actions, omissions, or negligence of the LLP’s representatives and agents (the “Claims”) Further, You hereby release, indemnify, discharge, defend, and hold harmless the LLP and its representatives, employees, and agents, from the Claims to the fullest extent permitted by law.
